Job Summary:

The Associate General Counsel will work alongside the other members of the legal department in providing legal support to all business units of EdgeCo Holdings, Inc. (the “Company”), including its wealth management, retirement plan investment and administration, and corporate verticals. The position will provide counsel on a variety of legal subjects including corporate law, securities and regulatory law, M&A, ERISA, commercial transactions, employment, litigation, privacy and cybersecurity. The candidate must be comfortable serving in a generalist legal role for a small legal department in a growing company.

The position will be located in Pittsburgh (Strip District), PA and is hybrid (in office 3-4 days a week).

 

Responsibilities:

Under the oversight of the Deputy General Counsel, assist in the day-to-day operations of the legal department and provide legal advice, counsel, and representation to the Company
Assist with transactional matters and acquisitions
Manage vendor and client contracts; respond to vendor due diligence inquiries
Respond to discovery requests, subpoenas and regulatory inquiries
Coordinate legal requests and communications among multiple parties, both internal and external
Draft, revise and negotiate a wide range of contracts and agreements
Draft policies and procedures for various corporate and compliance functions
Conduct legal research
Interpret and implement applicable state and federal laws, rules and policies as they relate to the Company
Draft and negotiate commercial real estate leases and track all aspects of lease agreements to ensure accurate documentation within a dedicated database
Support the management and administration of the legal department
Any additional tasks required by the legal department as need arises
Some travel may be required

 

Skills & Qualifications:

Active member of the state bar in Pennsylvania is preferred
Juris Doctor from an accredited law school
2+ years of experience, preferably in a mid to large-sized law firm or corporate environment
Background in financial services, ERISA, and/or corporate law a plus
Proficient with Microsoft Office Suite
Must be highly adaptable, motivated, and efficient in a fast-paced working environment
Must be flexible and demonstrate a willingness to take on tasks and projects as needs arise
Must be an excellent writer, researcher, and communicator with a serious attention to detail
An ability to problem-solve and multi-task independently
Must also possess strong presentation, collaboration and negotiation skills and excellent judgment and integrity
